This page summarizes the main terms of the commercial license under which OPTIMO TECH S.A.S. (NIT 901.957.428-4, Bello, Antioquia, Colombia) grants the use of Óptimo MCP. It is an informational summary: the full license text is delivered with the commercial proposal and, in case of any difference, the contract signed by the customer prevails.
1. Licensor and subject matter
The licensor is OPTIMO TECH S.A.S. (“Óptimo Tech”). The license authorizes the customer to use the Óptimo MCP service, provided remotely at https://mcp.optimotech.co/mcp, together with its administration dashboard and documentation, so that its users can connect compatible AI assistants to the ServiceNow instances the customer registers.
The service is provided as cloud software. The license does not include delivery of source code or installable copies of the software.
2. Nature of the license
The license is non-exclusive, non-transferable and non-sublicensable, and is granted for the term set out in the contract or accepted proposal. Óptimo Tech may offer the service to other customers on the terms it sees fit.
3. Scope by plan
The specific scope of each license is measured by named users, registered ServiceNow instances and, in plans that provide for it, end clients served. The exact limits are stated in the proposal.
| Plan | Intended for | General scope |
|---|---|---|
| Piloto (Pilot) | Free 7-day evaluation | A small number of users and instances, defined in the proposal. |
| Equipo (Team) | Internal teams managing their own instances | Named users and the organization’s own instances. |
| Consultora (Consultancy) | Companies providing ServiceNow services to third parties | Named users, instances and end clients according to the plan. |
| Capacitación (Training, optional) | Adoption and good practices | Training sessions as agreed; does not extend the scope of use. |
A named user is an identified person with their own account. Accounts may not be rotated among people to circumvent the contracted number of users; they may be reassigned when a user permanently no longer needs access.
4. Restrictions
Unless Óptimo Tech gives prior written authorization, the customer may not:
- Resell, rent, sublicense or make the service available to third parties beyond the contracted scope.
- Share accounts, passwords or access tokens among several people.
- Reverse engineer, decompile or attempt to obtain the source code or algorithms of the service, except to the extent expressly permitted by law.
- Copy, modify or create derivative works of the software or documentation.
- Use the service to develop a competing product or to carry out benchmarking intended for publication.
- Circumvent the service’s technical limits, security controls or write confirmations.
5. Customer data
Customer data remains the customer’s. This includes the records in its ServiceNow instances, the credentials it registers and the working memory its users save. Óptimo Tech processes it only to provide the service, in accordance with the Privacy policy, and does not use it for advertising or to train artificial intelligence models.
6. Intellectual property
Óptimo Tech retains all rights to the software, documentation, improvements and associated trademarks. The license does not transfer any right other than the use expressly granted.
7. Termination
The license ends when the agreed term expires without renewal, by mutual agreement, or upon a material breach by either party that is not remedied within the period set out in the contract. Upon termination, the customer no longer has access to the service and Óptimo Tech deletes the credentials and other service data within a reasonable period, except data it must retain by law. Before termination, the customer may request an export of its working memory and audit log.
8. Relationship with other documents
This license is complemented by the Terms of service and the Privacy policy. In case of conflict, the signed contract prevails, followed by the full license text and, lastly, this summary.
9. Requests
