Terms of service

Last updated: October 13, 2026

This is an English translation provided for convenience. In case of any discrepancy, the Spanish version, available at /legal/terminos, prevails.

These terms of service govern access to and use of the website https://optimotech.app and the Óptimo MCP service, both offered by OPTIMO TECH S.A.S., a Colombian company with tax ID (NIT) 901.957.428-4, domiciled in Bello, Antioquia, Colombia (“Óptimo Tech”).

1. Acceptance

By browsing the website, requesting information or a demo, or creating and using a service account, you accept these terms. If you act on behalf of a company, you represent that you have authority to bind it, and in that case “the customer” refers to that company. If you do not agree with these terms, you must not use the website or the service.

Where there is an accepted commercial proposal or a signed contract with the customer, that document prevails over these terms to the extent it specifically addresses a matter.

2. Description of the service

Óptimo MCP is a remote Model Context Protocol (MCP) server, available at https://mcp.optimotech.co/mcp, that allows compatible artificial intelligence assistants, such as Claude, to query and operate the ServiceNow instances the customer registers. The service acts as a technical intermediary: it receives the assistant’s requests, executes them on the instance with the credentials provided by the customer and returns the result.

The optimotech.app website is informational and commercial in nature. Its content describes the service in general terms and does not constitute a binding offer; specific conditions are set out in the corresponding commercial proposal.

3. Accounts by invitation

Service accounts are created only by invitation from Óptimo Tech, once a plan or pilot has been agreed. Each account is personal and non-transferable. Users must keep their password and access tokens confidential and notify [email protected] immediately if they suspect unauthorized use. Óptimo Tech may revoke unused invitations.

4. Customer responsibilities

The customer remains in control of its ServiceNow instances and of what is done in them. In particular, the customer is responsible for:

  • The credentials it registers. It must use technical accounts it is authorized to use, keep them current and revoke them when they are no longer needed.
  • The roles and permissions granted. What the assistant can query or modify depends on the roles of the technical account in ServiceNow. Applying the principle of least privilege and using development or test instances for build work is recommended.
  • Compliance with its third-party contracts. The customer must ensure that its use of the service is compatible with its contract with ServiceNow, the terms of its AI assistant provider and its internal policies, including data protection policies.
  • The operations it authorizes. Writes to production instances require the user’s explicit confirmation before they are executed. The customer must review what it confirms, because results generated by an AI assistant may be incorrect or incomplete.

5. Acceptable use

The customer and its users agree not to use the website or the service to:

  • Access instances, data or systems without the owner’s authorization.
  • Circumvent the service’s security, authentication or usage-limit controls.
  • Perform load, penetration or vulnerability testing without prior written agreement from Óptimo Tech.
  • Transmit malicious code or unlawful content, or infringe third-party rights.
  • Share accounts or credentials with people not authorized under the contracted plan.
  • Resell, sublicense or offer the service to third parties without express authorization.

6. Pilot conditions

The Pilot plan allows the customer to evaluate the service free of charge for seven (7) calendar days, with the scope of users and instances defined in the proposal. During the pilot the service is provided as available, with reasonable email support. At the end of the pilot the customer may subscribe to a plan; if it does not, Óptimo Tech will deactivate the account and delete the associated data within a reasonable period, unless otherwise agreed.

7. Fees and invoicing

The Team and Consultancy plans, optional training and any other services are charged according to the commercial proposal signed or accepted by the customer, which sets out prices, currency, billing frequency, scope and applicable taxes. Óptimo Tech issues electronic invoices in accordance with Colombian regulations. Late payment may result in suspension of the service after prior notice.

8. Intellectual property

The software, documentation, trademarks, designs and content of the website and the service are owned by Óptimo Tech or its licensors. Use of the service is governed by the commercial license and does not transfer any ownership rights to the customer. Feedback and suggestions shared by the customer may be used by Óptimo Tech to improve the service without any obligation to compensate.

Customer data, including the records in its ServiceNow instances, remains the customer’s.

9. Third-party services

ServiceNow, Anthropic (the provider of Claude) and other AI assistant providers are independent third parties. Óptimo Tech is not affiliated with them and is not endorsed or sponsored by them. The operation, availability, interface changes and terms of those services depend solely on their owners, and the customer must hold its own valid contracts with them. Óptimo Tech is not responsible for failures, changes or decisions of those third parties. More information is available in the trademark notice.

10. Availability and support

Óptimo Tech strives to keep the service continuously available and handles support requests at [email protected] during Colombian business hours. Unless a service level agreement (SLA) has been expressly contracted, no fixed availability or response times are guaranteed. Interruptions may occur due to maintenance, updates or causes beyond Óptimo Tech’s control; scheduled interruptions will be announced with reasonable advance notice.

11. Limitation of liability

The service is provided as a support tool. Responses and actions proposed by an AI assistant must be reviewed by the user, who decides whether to confirm them. To the fullest extent permitted by Colombian law, the following rules apply.

Óptimo Tech will not be liable for indirect damages, loss of profits, loss of data or loss of opportunities arising from the use of the service, from operations confirmed by the user, from the permissions granted to technical accounts or from failures of third parties. Óptimo Tech’s total liability to the customer, for any cause related to the service, is limited to the amount actually paid by the customer in the twelve (12) months preceding the event giving rise to the claim.

These limitations do not apply in cases of willful misconduct or gross negligence, or in any other case in which the law does not permit liability to be limited.

12. Confidentiality

Each party will keep confidential the confidential information it receives from the other, including technical and commercial information and information contained in the customer’s instances, and will use it only to carry out the business relationship. This obligation applies during the relationship and for two (2) years after it ends, unless the contract sets a different period. Information that is public, that the receiving party already lawfully knew or that must be disclosed by order of a competent authority is not considered confidential.

The processing of personal data is governed by the Privacy policy.

13. Suspension and termination

Óptimo Tech may suspend access to the service in whole or in part, with notice where possible, if it detects use contrary to these terms, a security risk to the service or to third parties, or non-payment. The customer may terminate the relationship as agreed in its contract or, absent such a provision, with thirty (30) days’ written notice. Upon termination, accounts are deactivated and instance credentials and other service data are deleted, except for data that must be retained by law. The sections on intellectual property, limitation of liability, confidentiality and governing law survive termination.

14. Changes

Óptimo Tech may update these terms. Changes are published on this page with their date and, if material, are notified to customers at least fifteen (15) days in advance. Continued use of the service after that date constitutes acceptance.

15. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Colombia. The parties will seek to resolve any dispute in good faith through direct negotiation. If they fail to do so, the dispute will be submitted to the courts of the Republic of Colombia.
